Beatle Digital reserves the right to modify these terms at any time. Any changes will be communicated to you, and continued use of our services constitutes acceptance of the updated terms.
2. Service-Specific Terms
2.1 SEO Services:
- Scope: Includes on-page SEO, off-page SEO, technical SEO, and local SEO.
- Deliverables: Monthly reports on keyword rankings, website traffic, and SEO performance.
- Payment: Monthly fee as agreed upon, payable within 30 days of invoice.
2.2 PPC Advertising:
- Scope: Setup and management of Google Ads, Facebook Ads, and other PPC campaigns.
- Deliverables: Regular performance reports, including key metrics such as impressions, clicks, and conversions.
- Payment: Monthly management fee plus ad spend budget, payable within 30 days of invoice.
2.3 Social Media Management:
- Scope: Strategy development, content creation, community management, and performance analytics for selected social media platforms.
- Deliverables: Monthly content calendars, engagement reports, and growth metrics.
- Payment: Monthly fee as agreed upon, payable within 30 days of invoice.
2.4 Web Design and Development:
- Scope: Custom website design, development, and ongoing maintenance.
- Deliverables: Fully functional website as per agreed specifications, with responsive design and SEO-friendly structure.
- Payment: Project-based fee, with milestone payments as agreed upon.
2.5 Content Marketing:
- Scope: Content strategy development, creation of blog posts, articles, whitepapers, and content distribution.
- Deliverables: Monthly content deliverables as per the content plan, performance reports on engagement and reach.
- Payment: Monthly fee as agreed upon, payable within 30 days of invoice.
2.6 Email Marketing:
- Scope: Design and execution of email campaigns, list management, and performance analytics.
- Deliverables: Regular email campaigns, subscriber growth reports, and engagement metrics.
- Payment: Monthly fee as agreed upon, payable within 30 days of invoice.
2.7 Online Reputation Management:
- Scope: Monitoring and managing online reviews, brand management, and crisis response.
- Deliverables: Monthly reports on brand sentiment, review responses, and reputation management activities.
- Payment: Monthly fee as agreed upon, payable within 30 days of invoice.
3. Payment Terms
3.1 Invoicing:
Invoices will be issued at the beginning of each month for ongoing services or upon completion of specific project milestones.
3.2 Late Payments:
Late payments may incur additional fees. Services may be suspended if payments are not received within the specified timeframe.
4. Confidentiality
4.1 Data Protection:
Both parties agree to keep all information related to the services confidential and not disclose it to any third party without prior written consent.
4.2 Intellectual Property:
All intellectual property created during the course of the services shall remain the property of Beatle Digital until full payment is received.
5. Termination
5.1 Termination by Client:
The client may terminate the agreement with a 30-day written notice. Fees for services rendered up to the termination date are non-refundable.
5.2 Termination by Beatle Digital:
Beatle Digital reserves the right to terminate the agreement if the client breaches any terms or fails to make payments.
6. Liability
6.1 Limitation of Liability:
Beatle Digital shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services provided.
6.2 Indemnification:
The client agrees to indemnify and hold Beatle Digital harmless from any claims, losses, or damages arising from the client’s use of the services.
7. Governing Law
7.1 Jurisdiction:
This agreement shall be governed by and construed in accordance with the laws of the State of Haryana, India.
7.2 Dispute Resolution:
Any disputes arising from this agreement shall be resolved through mediation, failing which, they shall be subject to the jurisdiction of the courts in Faridabad, Haryana.
8. Entire Agreement
This agreement constitutes the entire understanding between the parties regarding the services and supersedes all prior agreements, whether written or oral.
